By accessing our website, requesting a quotation, purchasing a product, subscribing to a service, making a payment, or engaging VirtuTech for services, you agree to be bound by these Terms and Conditions.
If you do not agree with these terms, please do not use our website or purchase our products or services.

Specific product and service terms may apply depending on the quotation, order, subscription, proposal, invoice, or agreement issued to the customer.
4Quotations and Proposals
Where a service requires a quotation or proposal, the quotation will specify the scope of work, deliverables, pricing, estimated timelines, and any other applicable conditions.
Unless otherwise stated, quotations are valid for the period specified on the quotation.
A project will only commence once the required acceptance, documentation, deposit, or payment has been received.
Changes to the scope of work after approval may result in additional costs and changes to the delivery timeline.
5Payments
Payments may be processed through third-party payment providers, including PayFast and other payment platforms made available by VirtuTech.
The customer agrees to provide accurate payment and billing information.
Where a payment is required before work begins, VirtuTech reserves the right to delay commencement until payment has been successfully received and confirmed.
For recurring services or subscriptions, the customer authorises the applicable payment provider to process recurring payments according to the agreed billing arrangement.
VirtuTech does not store customers' full card details unless explicitly permitted and securely required by the applicable payment infrastructure.
6Project Deposits and Milestone Payments
Certain projects may require an upfront deposit before development or production begins.
Unless otherwise agreed in writing, deposits are allocated towards project commencement, resource allocation, planning, development, design, production, or procurement and may therefore be non-refundable once work has commenced.
Where a project is divided into milestones, payment may be required before the next milestone begins.
7Service Delivery
VirtuTech will make reasonable efforts to deliver services within the timelines agreed with the customer.
Delivery timelines may be affected by:
- Delays in receiving information or content from the customer
- Changes to project requirements
- Delays in approvals
- Third-party services
- Hosting or infrastructure issues
- Payment delays
- Force majeure events
- Technical issues outside VirtuTech's reasonable control
Where delays occur, VirtuTech will communicate with the customer where reasonably possible.
8Customer Responsibilities
Customers are responsible for providing accurate information, content, branding materials, documentation, approvals, access credentials, and other resources reasonably required to deliver the agreed services.
Customers are responsible for ensuring that materials supplied to VirtuTech do not infringe the rights of any third party.
The customer remains responsible for reviewing and approving final deliverables before publication, launch, printing, production, or deployment.
9Website and Software Projects
For website and software development projects, the final scope of work will be determined by the approved quotation, proposal, specification, or agreement.
Additional features, functionality, revisions, integrations, or changes outside the agreed scope may be charged separately.
Unless otherwise agreed, third-party costs such as:
- Domain registration
- Hosting
- Premium software
- APIs
- Plugins
- Licences
- Payment gateway fees
- Third-party subscriptions
may be billed separately.
10Intellectual Property
Unless otherwise agreed in writing, VirtuTech retains ownership of its pre-existing intellectual property, frameworks, libraries, reusable components, methodologies, processes, templates, systems, and proprietary technology.
Upon full payment, the customer may receive ownership or usage rights to the specific deliverables agreed in the applicable quotation or agreement.
Third-party software, fonts, images, APIs, plugins, libraries, and other licensed materials remain subject to their respective licences.
VirtuTech reserves the right to display completed projects in its portfolio and marketing materials unless the customer requests otherwise in writing.
11Branding, Printing and Embroidery
Custom physical branding products supplied through VirtuBrand are produced according to customer-approved specifications.
Customers are responsible for ensuring that:
- Logos and artwork supplied are correct
- Names and spelling are correct
- Sizes are correct
- Colours and branding requirements are accurate
- Quantities are correct
- Final artwork has been approved before production
Once custom printing, embroidery, manufacturing, or production has commenced, changes may not be possible.
Custom-made or personalised products may not be eligible for cancellation or refund where production has already commenced, subject to applicable consumer protection laws.
12Digital Products and Software Subscriptions
VirtuTech may offer software products, SaaS platforms, subscriptions, licences, digital tools, templates, or other digital products.
Subscription pricing, billing cycles, features, user limits, and cancellation terms will be communicated before purchase or subscription.
Access to subscription-based products may be suspended where payments remain outstanding.
13Third-Party Services
VirtuTech may integrate third-party platforms and services into websites, applications, software, marketing campaigns, or other solutions.
Third-party services may include hosting providers, payment processors, communication platforms, analytics platforms, APIs, advertising platforms, and software providers.
VirtuTech is not responsible for outages, policy changes, pricing changes, security incidents, or service interruptions caused by third-party providers.
14Acceptable Use
Customers may not use VirtuTech's services, platforms, software, websites, or systems for unlawful, fraudulent, abusive, harmful, or malicious activities.
Customers may not attempt to gain unauthorised access to VirtuTech systems or compromise the security of any platform.
15Limitation of Liability
VirtuTech will take reasonable steps to provide professional and reliable services.
However, VirtuTech shall not be liable for losses caused by circumstances outside its reasonable control, including third-party service failures, internet outages, cyberattacks, infrastructure failures, customer actions, or inaccurate information supplied by the customer.
Nothing in these terms limits any rights that cannot legally be excluded under applicable South African law.
16Privacy and Data Protection
VirtuTech respects the privacy of its customers.
Personal information collected through the website, payment processes, forms, applications, or service delivery will be handled in accordance with applicable privacy and data protection laws, including the Protection of Personal Information Act (POPIA), where applicable.
Customers should review our Privacy Policy for further information.
17Cancellation
Customers may request cancellation of services by contacting VirtuTech in writing.
Cancellation terms may differ depending on the nature of the service, project stage, subscription agreement, or product purchased.
Cancellation does not automatically entitle the customer to a refund.
Any outstanding amounts for work already completed, services already rendered, products already produced, or non-recoverable third-party costs may remain payable.
18Refunds
Refunds are handled according to VirtuTech's Refund and Cancellation Policy.
Where a refund is approved, the refund will generally be processed using the original payment method where reasonably possible.
Refund processing times may depend on the relevant payment provider or financial institution.
19Changes to These Terms
VirtuTech reserves the right to update these Terms and Conditions from time to time.
Updated terms will be published on the website and will become effective from the stated effective date.
20Governing Law
These Terms and Conditions shall be governed by the laws of the Republic of South Africa.
Any disputes will be subject to the applicable laws and jurisdiction of South Africa.
